Welcome to FormPipeDB! These Terms and Conditions ("Terms") govern your access to and use of the FormPipeDB website, services, and applications (collectively, the "Service"). Please read these Terms carefully before using the Service.

By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

1. Service Description

FormPipeDB provides a Software-as-a-Service (SaaS) platform that allows users to create and manage databases, collect data through forms, import and export data using SQL, and query their data through an intuitive user interface and API.

2. User Accounts

To use most features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or otherwise suspect any security breaches related to the Service or your account.

You are responsible for all activities that occur under your account.

3. Subscriptions, Fees, and Payment

FormPipeDB may offer both free and paid subscription plans ("Subscriptions").

  • Fees: If you select a paid Subscription, you agree to pay the applicable fees as displayed at the time of purchase.
  • Billing: We may use a third-party payment processor to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor.
  • Automatic Renewal: Paid Subscriptions will automatically renew for the same subscription period unless you cancel your Subscription before the end of the current period. You authorize us to charge your payment method for the renewal term.
  • Price Changes: We reserve the right to change the prices for our Subscriptions. We will provide you with reasonable prior notice of any price changes. Your continued use of the Service after the price change comes into effect constitutes your agreement to pay the modified price.

4. User Data and Content

  • Your Ownership: You retain all ownership rights to the data, SQL scripts, database schemas, and any other content you create or upload to the Service ("User Content").
  • Our License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.
  • Your License to Us: To operate and provide the Service, you grant FormPipeDB a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your User Content solely as necessary to provide the Service to you. We will not view, access, or use your User Content for any other purpose.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, post, or transmit any content that is unlawful, harmful, or infringes on the rights of others.
  • Engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or any other systems or networks.
  • Store or transmit any data in violation of applicable privacy laws or regulations.

6. Intellectual Property

Excluding your User Content, you acknowledge that all intellectual property rights in the Service, including the website, application, design, and branding, are owned by FormPipeDB and its licensors.

7. Termination

  • By You: You can terminate your account at any time by using the "Delete Account" feature within the application dashboard. Termination is irreversible and will result in the permanent deletion of all your User Content.
  • By Us: We may suspend or terminate your access to the Service at any time, with or without cause, if we believe you have violated these Terms.

8. Assignment and Change of Control

This is a crucial term regarding the ownership of the Service. FormPipeDB reserves the right to assign or transfer its rights and obligations under this Agreement. In the event of a merger, acquisition, sale of all or substantially all of our assets, or other change of control, your account, User Content, and this Agreement (including your active Subscription) will be transferred to the new owner. The new owner will be bound by the terms of your current subscription period. Any changes to subscription terms, pricing, or the Service upon renewal will be at the sole discretion of the new owner, subject to providing you with prior notice.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FORMPIPEDB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

10. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice, such as by sending an email or by posting a notice on our Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.
